End User License Agreement

1. Agreement

This End User License Agreement ("Agreement") is between you ("User") and Astravale Holdings (Pty) Ltd ("Astravale", "we", "us"). By accessing or using the Astravale Venture Manager platform, you agree to these terms.

2. Licence grant

Astravale grants you a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business operations. This licence does not include the right to sublicense, resell, or redistribute the Platform.

3. Restrictions

• → You may not reverse-engineer, decompile, or disassemble the Platform
• → You may not use the Platform for unlawful purposes or to violate third-party rights
• → You may not attempt to gain unauthorised access to any part of the Platform or its infrastructure
• → You may not share your login credentials with unauthorised parties

4. Your data

You retain all ownership of data you input into the Platform. Astravale processes this data only as necessary to provide the service. You are responsible for ensuring your use of the Platform complies with applicable laws regarding the data you manage within it.

5. Third-party integrations

The Platform connects to third-party services (Vercel, Cloudflare, Resend, LinkedIn) using credentials you provide. Your use of those services is subject to their respective terms. Astravale is not responsible for the availability or conduct of third-party services.

6. Disclaimer of warranties

The Platform is provided "as is" without warranties of any kind, express or implied. Astravale does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.

7. Limitation of liability

To the maximum extent permitted by law, Astravale's total liability for any claim arising from use of the Platform shall not exceed the amounts paid by you to Astravale in the twelve months preceding the claim.

8. Termination

Either party may terminate this Agreement at any time. Upon termination, your licence to use the Platform ceases immediately. Provisions that by their nature should survive termination will do so.

9. Governing law

This Agreement is governed by the laws of the Republic of South Africa. Disputes shall be resolved in the courts of South Africa.
